Procedural Posture

Civil Appeal / Court of Appeal Judgment on Appeal From Winchester County Court

  1. 1 Whether Niksun's discretion in allocating commission was broad and untrammelled or constrained by the contract
  2. 2 Whether the judge was entitled to substitute his own decision for Niksun's regarding the allocation of commission and identification of 'Point of Influence'
  3. 3 Whether Niksun's decision-making process regarding commission allocation was rational and reasonable

Ratio Decidendi

Niksun's discretion in allocating commission was constrained by the contractual documents and had to be exercised rationally and reasonably. In the absence of evidence as to the decision-making process, the judge was entitled to determine for himself whether the allocation was reasonable. The judge was justified in concluding that the Point of Influence was the UK and that a two-thirds commission allocation was appropriate.

Court Disposition

Appeal dismissed

Orders

  • The appeal by Niksun Inc is dismissed.
  • The judgment of the Winchester County Court awarding Mr Hills two-thirds of the APAC commission is upheld.
