Ratio Decidendi

The English court has special jurisdiction under Article 5(3) of the Lugano Convention because the economic loss suffered by the claimants manifested and crystallised in London when the Acquired Shares were liquidated and the Secured Account with UBS London was depleted. The loss did not occur at the time of entering the Co-Investment Agreement in China, nor merely where the claimants felt the loss, but at the point and place where the loss became certain and irreversible in London. This satisfies the requirements of proximity, foreseeability, and sound administration of justice under the Brussels-Lugano scheme.
