The restrictive covenants in clause 15.2.2, 15.2.3, 15.2.6, and 15.2.7 of the 4myschools Contract were enforceable to the extent they protected legitimate proprietary interests in client and candidate relationships. However, the inclusion of restrictions on actions as a shareholder rendered the covenants unreasonably wide and unenforceable in their entirety. The undertakings given by Ms Palmer were not enforceable as a separate contract. Injunctive relief would not have been granted, and damages are not recoverable beyond nominal amounts.
