Lakey v Macabuag & Ors Re Mitt Wearables Ltd [2023] EWHC 1800 (Ch) (19 July 2023)
The court found that the removal of Mr Lakey as director and employee, and the consequent re-designation of his shares as a Bad Leaver, were effected in accordance with the Articles and Shareholders' Agreement. There was no actionable unfair prejudice as the process, though imperfect, was undertaken in good faith, with legal advice, and in the company's interests. The transfer of assets to Koalaa Limited was a bona fide commercial response to the breakdown in relations and the need for further investment, not a scheme to defeat Mr Lakey's rights. Mitt was not a quasi-partnership affording Mr Lakey rights beyond the formal agreements. The petition failed on all substantive grounds.
