Procedural Posture

Civil Appeal / Appeal From High Court Judgment

  1. 1 Whether the appellants dishonestly assisted Mr Aydin in breaching his fiduciary duties to Goldtrail under section 175 of the Companies Act 2006 by diverting £1.4 million to himself via MLL.
  2. 2 Whether the appellants dishonestly assisted Mr Aydin in misapplying £1.25 million of Goldtrail's money, including deposits and an advance payment, for improper purposes.

Ratio Decidendi

The appellants dishonestly assisted Mr Aydin in breaching his fiduciary duties by facilitating the diversion of £1.4 million due to Goldtrail and the misapplication of £750,000 of company funds. The judge was entitled to find that the relevant payments were not genuine commercial transactions but mechanisms to benefit Mr Aydin at Goldtrail's expense. The only reduction in liability was for the £500,000 advance payment that was recouped by Goldtrail before insolvency, for which no compensation was due.

Court Disposition

Appeal dismissed in part; allowed only to reduce compensation by £500,000 for the recouped advance payment.

Orders
