Procedural Posture

Commercial Construction Dispute / Judgment After Trial

  1. 1 Whether Aker was entitled to liquidated damages under the LOGIC Sub-Contract and/or the MOU
  2. 2 Whether Aker was estopped from disputing sums approved and paid between June and August 2015
  3. 3 Whether HSM was entitled to recover for Materials, Labour Positions, Management Positions, and Third Party Costs under the MOU and/or LOGIC Sub-Contract

Ratio Decidendi

The MOU replaced the absolute obligation to complete by a fixed date with a 'fullest endeavours' obligation, thereby removing the contractual trigger for liquidated damages. The approval and payment of interim invoices by Aker did not create an estoppel preventing Aker from revisiting those sums, as the LOGIC Sub-Contract expressly preserved the right to do so and no unequivocal common assumption or unconscionability was established. HSM's claims for Materials, Labour Positions, Management Positions, and Third Party Costs failed as a matter of contract construction and estoppel, as the MOU did not provide for such recovery and the claims were not properly evidenced or pleaded.

Court Disposition

Claim for additional sums dismissed; counterclaim for liquidated damages dismissed.
