  1. 1 Whether the conduct of an employee constituted a breach of a substantial term of the Franchise Agreement justifying immediate termination
  2. 2 Whether the actions of the employee could be attributed to the claimant company
  3. 3 What is the appropriate measure of damages for wrongful termination of a franchise agreement

Ratio Decidendi

Antal London was not entitled to terminate the Franchise Agreement immediately on the basis of Miss Bosshard's conduct, as there was no evidence of actual adverse effect on Antal's name or intellectual property. The purported termination was a repudiatory breach by Antal London. However, MMP failed to prove its loss because it advanced its claim solely on a discounted cash flow valuation, which was not the correct measure of damages where the business continued. No alternative loss of profits claim was pleaded or proved, so only nominal damages were awarded.
