Genee breached the Exclusivity Agreement by selling Genee World Products to UK entities other than Northamber and the Excluded Accounts from 1 July 2017. Mr Singh and IES induced Genee to breach the agreement and conspired to injure Northamber. Northamber did not breach the Exclusivity Agreement as alleged by defendants. The Exclusivity Agreement was not terminated by agreement or valid notice. Northamber is entitled to compensation for lost revenue as per the Exclusivity Agreement.
