The court found that the husband failed in his duty of full and frank disclosure by not revealing material steps towards a sale of ABC Ltd and the process of acquiring the children’s shares before the final order was sealed. These omissions were material and undermined the basis of the final order. The subsequent sale of ABC Ltd for a much higher value and the acquisition of the children’s shares by the husband were not simply natural price fluctuations or ordinary post-order events, but were the result of processes already underway and concealed at the time of the order. The legal threshold for setting aside the order due to material non-disclosure and misrepresentation was met.
