EDS, through its managing director Joe Galloway, made fraudulent misrepresentations as to the time required to deliver the CRM system, both prior to the Letter of Intent and prior to the Prime Contract, intending Sky to rely on them. Sky did so, selecting EDS and entering into contracts. These representations were false, made without proper analysis or reasonable grounds, and were relied upon by Sky to its detriment. EDS is liable in deceit for fraudulent misrepresentation as to time. EDS is also liable in negligence for misrepresentations prior to the Letter of Agreement regarding project planning.
