There should be no discount for minority shareholding in valuing Mr. Murrell’s 3% shareholding as at 1 November 2006, as he did not acquire his shares at a discount and was not a willing seller. The directors breached their fiduciary duties by paying themselves excessive remuneration without proper consideration of the interests of all shareholders. The fair value of Mr. Murrell’s 3% shareholding is £300,000, and he is entitled to compensation for excessive remuneration paid to the directors for the years ending 30 September 2004, 2005, and 2006.

Orders
