The goodwill in 'Bongo's Bingo' was created and owned by Jonathan Lacey as a self-employed entertainer, not by C&F or Burke. Ownership passed to Shua only upon assignment in May 2019. Shua is the owner of copyright in the logos. C&F has no proprietary interest in the goodwill or copyright, nor exclusive rights to hold BB events in Liverpool, nor entitlement to commission for events outside Liverpool. The 15 June 2015 Agreement was not a binding contract conferring proprietary rights or enforceable constraints. Mr Burke was an employee of C&F during the relevant period.
