Ratio Decidendi

The claimants failed to prove contractual surrender or laches, as the 2004 agreement created an express trust and any disposition of Inc's beneficial interest required writing, which was absent. However, the court found that the Frenkel disavowal in 2010 constituted a clear enough assurance to Mr Bell, who relied on it to his detriment, making it unconscionable for Inc to assert a beneficial interest in UK. Therefore, proprietary estoppel applies and Inc is estopped from asserting such an interest.
