Ratio Decidendi

Clause 18 of the 2017 Shareholders Agreement did not supersede or revoke the 2016 Deed. The 2016 Deed imposed testamentary obligations distinct from the shareholder rights and obligations governed by the 2017 Agreement. The agreements are compatible and can operate concurrently. The claimants are entitled to enforce the 2016 Deed. Rectification is not available as there was no evidence of a common accord between the parties regarding the effect of the 2017 Agreement on the 2016 Deed.
