Procedural Posture
Part 8 Claim (civil Procedure Rules) / Judgment After Hearing
Legal Issues
- 1 Proper construction of clauses 5-8 of Annex A to the 2014 Settlement Agreement regarding entitlement to and use of the New Marketing Support Fund (New MSF)
- 2 Whether MM is entitled to immediate credit of New MSF upon compliance with Minimum Year to Date Bundle Commitment
- 3 Whether New MSF can be used to meet Minimum Usage Commitment or keep MVNO account in pre-payment
Ratio Decidendi
Clauses 5, 6, and 7 of Annex A to the 2014 Settlement must be read together: clause 5 deals with availability of the New MSF, clause 6 sets conditions for entitlement to use, and clause 7 imposes a cap. MM is not entitled to have any funds from the New MSF credited to its MVNO account unless it has complied with its Minimum Year to Date Bundle Commitment and its actual usage exceeds that commitment. The maximum credit is the lesser of the excess usage or the MSF Cap minus prior credits. The New MSF cannot be used to meet Minimum Usage Commitment except as provided in clause 8.
Court Disposition
Declarations granted in favour of EE Limited.
Orders
- MM is not entitled to have any funds from the New MSF credited to its MVNO Account in any calendar month unless it has complied with its Minimum Year to Date Bundle Commitment up to the end of the previous calendar month.
- MM is not entitled to have any funds from the New MSF credited to its MVNO account in any month unless its actual usage of services exceeds the Minimum Year to Date Bundle Commitment.
