Ratio Decidendi

The parties' contract, as formed by the 12 February 2018 document and subsequent conduct, entitled Premier to payment for hours recorded on signed timesheets, with verification by biometric data after April 2018. MW was not contractually entitled to make deductions based on turnstile data. MW's overpayments were made knowingly and cannot now be clawed back absent fraud or manifest error. Premier is entitled to the sums claimed in its final account, subject to minor deductions for agreed errors or overclaims.
