Both defendants, as joint managing directors, failed to exercise any independent judgment or reasonable care in relation to the acquisition of the Partnership's business by Vintage, the valuation of assets and goodwill, and the representations made to investors. They were at least grossly negligent, if not reckless, in failing to inform themselves of the true financial position and in permitting the company to engage in unsustainable and misleading business practices. Their conduct rendered them unfit to be concerned in the management of a company.
