Section 10(2) of the British Telecommunications Act 1981, read naturally and purposively, transfers all liabilities, including those to former employees whose employment ceased before the transfer date, to British Telecommunications. Schedule 2 paragraph 3 is a mechanism for transferring existing employees and does not limit the transfer of liabilities for former employees. Pension provisions in section 33(2) reinforce this interpretation. BT's application for a declaration that such liabilities were not transferred fails.
