Mr Castledine did not acquire an equal share in the partnership's goodwill upon joining, either by express agreement, implication, or construction of the partnership agreement. The evidence did not support his claim of an express or implied term, and the partnership documents, when read together, made clear that goodwill was owned by pre-1999 equity partners and not automatically conferred on new partners. Any transfers of goodwill to Mr Castledine were matched by corresponding liabilities and were reversed upon his retirement. He did not retain any share in goodwill after retirement.
