The court found that AMC and Mr Malik, through the 2005 refinancing, extraction of funds, misappropriation of company assets, concealment of material information, and exclusion of the Sharafis from management, conducted the affairs of Woven Rugs Limited in a manner unfairly prejudicial to the Sharafis as members. The payments to AMC and Mr Malik were not bona fide, were in breach of fiduciary duty, and were designed to benefit AMC and Mr Malik at the expense of the company and the Sharafis. The court rejected the existence of a binding compromise agreement and found that the Sharafis were entitled to relief.
