Procedural Posture

Companies (winding Up) Proceedings: Petitions Under S.177(1)(f) and Applications Under S.168 A, Companies Ordinance (cap.32) / Interlocutory Applications (inspection of Documents; Validation of Sale) — Restored Hearing

  1. 1 Whether a director's right under s.121 Companies Ordinance and at common law to inspect company books continues after appointment of provisional liquidators
  2. 2 Whether the director's inspection right extends to documents of a subsidiary or joint venture which are not documents of the company itself
  3. 3 Whether the company, as a party to winding-up petitions, is obliged to make discovery under RHC Order 24 and whether that obligation can be enforced

Ratio Decidendi

The court held that the statutory and common law inspection rights of a director under s.121 are limited to the company's own accounting books and do not extend to documents that are the property of a subsidiary or separate joint venture; where discovery is required in these winding-up proceedings the proper route is by an RHC Order 24 application and enforcement against the company, and the court will not sanction the sale of a major non-wasting asset by provisional liquidators in the absence of a demonstrated pressing need.

Court Disposition

Summons to be amended and inspection application converted into discovery procedure; provisional liquidators ordered to file affidavit re documents; application to sanction sale of Sunville property refused; costs allocated as below.

Orders

  • Summons amended to proceed under RHC Order 24 (rules 3 and 7) upon petitioners' undertaking to file amended summons within 48 hours
  • Provisional liquidators to file an affidavit within 14 days stating whether the Company has in its possession, custody or control any of the documents listed in the schedule and to exhibit a list of any further relevant documents in the Company's possession, custody or control
