HCSA 46/2018 [2018] HKCFI 2737 香港特別行政區 高等法院原訟法庭 高院小額錢債審裁處上訴案件2018年第46號 （原小額錢債審裁處申索2017年19124號） _________________ WONG Nga Yee 申索人 訴 Global Asset Group Ltd 被告人 _________________ 主審法官：高等法院原訟法庭法官朱珮瑩內庭聆訊 聆訊日期：2018年11月 28日 判決書日期：2018年12月19日 判 決 書 引言 被告人現就小額錢債審裁處吳焯軍暫委審裁官 (“審裁官”) 於2018年7月24日作出的判決及於2018年9月7日覆核後的判決向本席申請上訴許可。 審裁官於2018年7月24日判決被告人敗訴及須支付申索人$48,292.34及訟費。後被告人申請覆核但審裁官於2018年9月7日維持原判。 審裁官於2018年11月13日發下判決理由書 (“第一份理由書”) 及覆核理由書 (“第二份理由書”)。 背景 本案背景已列在第一份理由書中。主要為申索人於大約2017年3月有意購買澳洲墨爾本 “Windsor & Company Project” 的一個單位。申索人於2017年4月3日選擇了Lot 123單位及於翌日4月4日支付了澳幣$8,000為按金。2017年4月5日申索人改變主意，欲轉購Lot 403單位。被告人代表Sally Cheung 將一張 “Booking Form” 傳給申索人。申索人簽妥Booking Form以電郵發回Sally Cheung。其後2017年4月20日，申索人又再改變主意，不再購買Lot 403單位及要求被告人將澳幣$8,000按金還給她。被告人拒絕歸還按金。因此申索人於2017年5月8日向小額錢債審裁處向被告人提出申索。 申索人的申索理由 申索人申索書中的申索理由為於2017年4月4日，被告人錯誤引導及隱瞞有關條款和不實陳述為求速成一宗不誠實的交易及沒收申索人之按金澳幣$8,000。 被告人的抗辯理由 被告人主要倚賴申索人2017年4月4日簽署的 “Booking Form” (C17/D50) 內以下的條款沒收按金： “Should the Purchaser/s elect not to proceed with the signing of the formal Contract of Sale or fail to proceed with the purchase on the properly described herein the holding deposit will be forfeited.” 討論 審裁官於第一份理由書第6段指出 Booking Form 是一份被告人公司發出的文件及信頭的位置可以看見被告公司的商標。該Booking Form表明它是一份 “Windsor & Company Offer & Acceptance”。從該Booking Form可見，這份文件只有兩個簽署方。其中一個簽署方為申索人，而該Booking Form 表明申索人為Lot 403的單位的購買人 (Purchaser)。另外，該Booking Form表明Lot 403的單位的賣方 (Vendor) 為 “Caydon High Street Development” (“Caydon”)。這份文件只提及這兩方為買賣方。 Booking Form在 “Purchaser” 及 “Vendor” 的地址，電話，電郵及單位號碼下有兩大段，即：— “The Purchaser/s hereby offer(s) to purchase the following property described as: Lot No. [403] Purchase Price: AUD$ [467,000.00] For the Purchaser Price of AUD$ [467000] and being attach hereto a holding deposit of HK$50,000/AUD$8,000 which shall be immediately refundable should this offer not be accepted by the Vendor. Such payment is to be held by Global Asset Group Limited as Stakeholder if this offer is accepted by the Vendor. Upon Vendor’s acceptance of the above offer, the Purchaser/s will, within Seven (7) days, enter into a formal Contract of Sale (with 10% deposit) as adopted by the respective Real Estate Institute of each relevant State and duly approved by the State’s Law Society in Australia, which shall contain, inter alia, the following terms and conditions: Deposit AUD$ [46,700.00] being 10% deposit of the Purchase Price payable to “Lloyd Meridian Legal Trust Account” by the Purchaser/s on the execution thereof. [2. FREE BLIND TO ALL WINDOWS. INTEREST ON DEPOSIT. CASH REBATE A$2,000 FOR WASHING MACHINE AND FRIDGE. PARTIAL LEGAL FEE REBATE A$1,000.] It is agreed that the holding deposit of HKD$50,000/AUD$8,000 payable hereunder shall be refunded to the Purchaser/s upon the exchange of the Contract of Sale & Payment of 10% deposit. The purchaser/s should provide credit card statement for refund equivalent HKD purpose. The purchaser/s acknowledge that the holding deposit is paid in consideration of Global Asset Group Ltd holding off selling the said property to any other party of the duration of the property exhibition or any other period and subject to any other conditions as agreed. Should the Purchaser/s elect not to proceed with the signing of the formal Contract of Sale or fail to proceed with the purchase on the property described herein the holding deposit will be forfeited.” 以上 [ ] 內的數目/字句為手寫。 “Booking Form” 的雙方明顯地一方為買家 (“Purchaser”) 及另一方為發展商 (“Vendor”) ，即Caydon。無論申索人呈交的版本 (C17) 或被告人所呈交的版本 (D50) 都沒有發展商或賣家Caydon的簽名，只有申索人以買家的身份簽名。但有一位 “Sally” 的女士的簽名， C17只有 “Sally” 一個簽名，顯示 “Sally” “hereby accepts the above Offer” 。C50即有 “Sally” 兩個簽名，另一個是她以 “witness” 身份簽署。 從第一份理由書中可看到 “Sally” 即為Sally Cheung。她應是被告人公司的職員或 “Assistant Marketing Director” ，而從申索人提供的Whatsapp中及電郵可看見一直主要是由Sally Cheung與申索人聯絡的，及是Sally Cheung於2007年4月5日將Booking Form以電郵傳給申索人。 審裁官於第一份理由書第9段的分析為被告人公司並不是Booking Form的合約方。審裁官指被告人只是以 “保證金保存人” Stakeholder的身份代替Caydon持有申索人支付的該筆按金。審裁官於第10段中指出本案的關鍵問題為Caydon有否接受申索人的要約 (即offer to purchase)。 審裁官指雙方並沒有爭議的事實是Caydon這一方合約方並沒有董事或任何其他人代表Caydon簽署合約以接受申索人的要約。另外，從申索人跟Caydon的Sales Director (即Michael Sain) 的電郵通訊 (見證物C71至C75) 顯示，Michael Sain承認了申索人跟Caydon並沒有任何交易。並且於證物C75中，Michael Sain聲稱 “we are not party to any of this transaction” 及指Booking Form內的條款並非Caydon訂立的條款而只為被告人公司的條款。Michael Sain曾於2017年9月14日的電郵中向申索人稱Caydon並不是 (有關) 交易中或Booking Form的其中一方， “The form clearly states the terms and conditions and they are not our terms and conditions, they are Global Asset.” 。此外審裁官指Caydon也沒有收取該筆按金。 審裁官詳細考慮了Caydon與項目業權擁有人 Fortis Funds Management Pty Ltd，及被告人於2017年3月22日簽署的 “The Marketing and Sales Agreement” (D141)。審裁官指，從這份協議可看到被告人的身份為Caydon的代理人 (“Agent”) 但代理人的職責為 “to provide to Developer (Caydon) sales service to promote and sell the Properties in Schedule 1 of the agreement” ，但該協議並沒有提及或授權被告人公司可以代表Caydon簽署 “Booking Form” 並指出只可用Developer 提供的 “Sales Contract” 及只可以bank guarantees 或 deposit bonds 接受按金 (2.3 (c))。 於覆核中，被告人提交了很多 “新文件” (D147 – D327)。至於D147 – D148的新文件，即2017年8月19日的Whatsapp，審裁官指被告人於審訊前有足夠機會及時間提供該些文件但當時被告人並沒有這樣做，因此審裁官並不接納該些新證據。D147 – D148有三份電郵，即2017年8月19日，2017年9月14日及2017年9月19日的電郵。審裁官已指出這三份電郵也沒有顯示梁志立先生或Michael Sain的名字。 當時覆核時被告人呈交的新文件並沒有包括被告人現時附於上訴許可申請表格9內的日期似乎是2018年9月7日的被告人稱為 “Whatsapp” 的3頁紙 screenshot。 該3頁紙screenshot是由Michael Sain發出而收件者為 “Steven Galanos & 1 更多…”。本席不知收件者與被告人的關係。並且該郵件上的時間為 “07:32” 或 “08:49” 不清楚是香港或澳洲時間，也看不清楚內指6個附件是什麼文件。但據被告人的上訴理由陳詞中該3頁紙被告人指是2018年9月7日早上7時才收到，因此無法提前呈交。 不論如何，Michael Sain於該3頁紙screenshot的第3點中很清晰指出： “Caydon agreed to the terms of the offer in relation to the individual property lot 304 (sic). The paperwork used by GAG and the terms they apply to run their business is that their sole discretion and any client of GAG remains their client. Any forms in relation to the sale, other than the Contract of Sale are agreed to between the client and GAG and Caydon is not party to any of this. 及 “Caydon was informed that the client was not proceeding with the contract of sale and was subsequently cancelled the reservation on our side. Whatever obligations the client has with the GAG is between them.” 因此這些新文件也無法支持被告人的說法，因Caydon表明Booking Form不是Caydon要求買家簽署的文件。並且買家表示不購買時，買家預留單位已被取消。Caydon明顯是已經接納買家取消買賣及Caydon並沒有提及沒收按金或授權被告人代Caydon沒收按金。至於其他D150 – D289的新文件中是其他買家所簽約Booking Form。 其他買家無爭議或接納Booking Form的條款並不等同被告人是有權代Caydon沒收按金。 申索人本來在申索書中的申索並不基於Caydon有否授權被告人簽署Booking Form 或被告人是否有權代Caydon簽署Booking Form及沒收按金而申索只是基於Sally Cheung的誤導誘使了她支付按金，但申索人曾指出她並不認同Booking Form 的條款。於審訊中，被告人並沒有傳召Sally Cheung出席作供。 香港法例第338章《小額錢債審裁處條例》第16(3)條賦於審裁官可以查訊任何與有關申索的事宜，不論該事宜曾否由任何一方提出。並且第28(1)條列出：— “(1) 如任何一方對審裁處的決定感到受屈，而理由— 只涉及法律問題；或 是因為該申索超越審裁處的司法管轄權範圍 則可向原訟法庭申請上訴許可，而原訟法庭如認為適當，可予批准。” 在考慮了上述條款，本席不認為審裁官犯了任何法律上的錯誤，也沒有任何其他原因應批准被告人上訴許可的申請。本席不批准被告人是次申請。 (朱珮瑩) 高等法院原訟法庭法官 被告人：由曾德儀代表Global Asset Group Ltd應訊。
