The court found as a matter of undisputed fact that the 1st and 2nd defendants breached the agreement by failing to obtain the Declaration and/or prove good title by the completion date, the contract was treated as at an end by the parties by end of November 1997, and the 3rd defendant released the deposit after the contract had been determined and therefore wrongly paid the funds; plaintiff entitled to recover $428,000 plus interest and costs.
