Findings: Yung acted as de facto director and together with Poon (and with knowing participation by Ms Yung) caused transfer of the businesses of Geewing and V&T to DSD and DSM at substantial undervalue, stripping the companies of their sole income-producing assets; this constituted breaches of fiduciary duty and unfairly prejudicial conduct justifying winding up under s.177(1)(f); DSD and DSM as knowing recipients and the individual defendants are jointly and severally liable to account to the respective companies for the business values as assessed.
