Judge found on the balance of probabilities there was no oral agreement of 18 March 1993; Ding and Zheng unlawfully effected June 1993 transactions that divested Peng and the plaintiff companies of their beneficial interests; therefore declarations, rescission of the June agreements, an account of profits and damages were ordered in favour of the plaintiffs; however the court declined to order delivery up/return of shares or broad injunctions against the effects of lawful PRC restructuring on grounds of comity and practical enforceability; Ng and Deng were innocent and their claims dismissed.
