The Court sanctioned the Scheme because the Scheme serves a permissible restructuring purpose, the Scheme Creditors constituted a single class with materially similar pre- and post-scheme rights, the convening and disclosure requirements were satisfied, the adjournment for Typhoon Ragasa was a legitimate exercise of the chairman's power and caused no prejudice, statutory majorities under s674 were obtained, the Scheme met the intelligent and honest man test, there was sufficient connection with Hong Kong and no operational blot preventing implementation; accordingly the exercise of discretion to sanction was appropriate.
