Ratio Decidendi

The court held that the Account and Appointment claims could not validly be pursued by the Plaintiff on a derivative basis because the management committee was the proper organ to enforce corporate rights, the committee had been regularised and the Incorporated Owners had, by later resolutions and conduct, declined to pursue the account claims; independently, the 1st Defendant's long open occupation of the yard since about 1974, without successful complaint by co-owners and in circumstances of acquiescence, defeated the trespass claim by adverse possession/limitation. Accordingly all live claims against the 1st Defendant were dismissed and costs were ordered nisi in his favour.
