Interest for delay in making public offer under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and 2002 is not a commercial transaction; only shareholders who held shares on triggering date and continued till closure of public offer are entitled to interest, which must be paid at 10% per annum (not 15%) with any dividends set-off against interest. The Administrator of the Specified Undertaking of the Unit Trust of India, as statutory beneficiary, is entitled to interest irrespective of its coming into being after 1998.
