Legal Issues
- 1 Whether an arbitration agreement in an unregistered (but compulsorily registrable) instrument is valid and enforceable.
- 2 Whether an arbitration agreement in an unregistered instrument which is not duly stamped is valid and enforceable.
- 3 Whether there is an arbitration agreement between the appellant and respondent and whether an Arbitrator should be appointed.
Ratio Decidendi
An arbitration agreement in an unregistered but compulsorily registrable document can be acted upon for dispute resolution, provided the document is duly stamped. If not duly stamped, neither the document nor any contained arbitration clause can be acted upon until the stamp duty and penalty are paid. Once duly stamped, the court may delink the arbitration agreement and enforce only the arbitration clause for disputes relating to the lease, but not enforce any substantive rights arising from the unregistered lease deed.
Court Disposition
Appeal allowed
Orders
- Order of Gauhati High Court set aside.
