The Court found that while there were failures in statutory compliance and financial controls, the collapse of the group was substantially attributable to external events (9/11). Directors' actions, including efforts to secure funding and personal financial contributions, demonstrated honesty and responsibility in the circumstances. Restriction orders were not warranted against most directors, except where non-participation or lack of evidence precluded satisfaction as to honesty and responsibility.
