The respondents, as directors of EGHL, restructured the Emerald Group so that Banfi Limited, as a minority shareholder, was excluded from participating in the profits and business of the group, now headed by Best Christmas Trees Limited, without offering Banfi the opportunity to acquire shares in the new holding company. This conduct, though not illegal, was oppressive and in disregard of Banfi's interests as a member under section 205 of the Companies Act, 1963, entitling Banfi to relief.
