The directors failed to discharge their minimum duties to inform themselves about the affairs of the company and to supervise and control its operations, amounting to an abdication of responsibility. The fact that the company was a subsidiary within a group did not absolve them of these duties. None of the respondents satisfied the court that they acted responsibly as directors for the purposes of s.150 Companies Act 1990.
