Ratio Decidendi

Respondents failed to form or acquire Octa Diamonds (Pty) Ltd as required by the agreement, did not issue shares to applicant, and operated the mine for their own benefit. Octa Diamonds (Pty) Ltd remained a dormant company unrelated to the parties. Respondents have no rights to the mine and their actions in blocking applicant's use of the mine and claiming ownership were improper and, in part, fraudulent. Applicant retains ownership and is entitled to an interdict restraining respondents from accessing the mine.
