The new board was not properly appointed as directors were not nominated by the association as required by the constitution. The old board was properly constituted and authorised the proceedings. The company is entitled to interdictory relief and ejectment as the respondents are not lawfully appointed directors. There is no adequate alternative remedy. Costs on attorney and client scale are not justified as respondents did not act unreasonably.
