PENDAHULUAN 1. Defendan Pertama dan Kedua (selepas ini dirujuk sebagai D1 & D2) telah memfailkan suatu permohonan (kandungan 26) di bawah Aturan 12 Kaedah 10, Aturan 3 Kaedah 5(1), Aturan 18 K.19(1) dan Aturan 92 Kaedah 4 1 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal Kaedah-Kaedah Mahkamah 2012 antara lain untuk mendapatkan perintah- perintah yang berikut: a. Prosiding ini dan pematuhan arahan-arahan pra-bicara yang telah diberikan pada pengurusan kes bertarikh 29.7.2024 bagi tindakan guaman di Mahkamah Sesyen Kuala Lumpur ini digantung secara interim sehingga pelupusan mutlak permohonan ini; b. D1 dan D2 dibenarkan untuk lanjutan masa memfailkan permohonan ini di bawah A.12 K.10(1)(g) KKM 2012 selepas pemfailan pembelaan masing-masing; c. Satu deklarasi bahawa Mahkamah Sesyen Kuala Lumpur tidak mempunyai bidangkuasa untuk menentukan sabjek perkara, relif, remedy yang dituntut oleh Plaintif terhadap D1 dan D2 dalam tindakan ini; Dan/atau alternatifnya, d. Writ saman terpinda dan pernyataan tuntutan terpinda Plaintif-Plaintif bertarikh 31.5.2024 terhadap D1 dan D2 dibatalkan menurut A.18 K.19(1) (b), (c) dan (d) dan/atau menurut bidangkuasa sedia ada di Mahkamah di bawah A.92 K.4 KKM 2012. 2. Mahkamah ini telah pada 11.7.2025 memutuskan bahawa permohonan D1 dan D2 di kandungan 26 ditolak dengan kos RM4,000.00. D1 & D2 kini memfailkan rayuan ke Mahkamah Tinggi terhadap keputusan tersebut. B. ALASAN PERMOHONAN D1 & D2 3. D1 dan D2 memfailkan permohonan di kandungan 26 dengan alasan bahawa Mahkamah Sesyen ini tidak mempunyai bidangkuasa untuk menentukan tindakan Plaintif-Plaintif terhadap D1 yang merupakan sebuah koperasi di 2 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal bawah kehendak Seksyen 82 Akta Koperasi 1993 dan D1 hanya merupakan agen bagi D2. 4. D2 merupakan sebuah koperasi yang telah didaftarkan pada 11.8.2017 di bawah bidangkuasa Akta Koperasi 1993. Plaintif-Plaintif adalah ahli berdaftar dengan keperasi tersebut dan berada di bawah bidangkuasa undang-undang kecil D2. 5. Plaintif-Plaintif telah secara sukarela terlibat dalam skema Specific Saving Dreamhomes Funds (SSDF) di bawah pengurusan D2. Bayaran yang telah dibuat adalah atas kapasiti pendeposit simpanan khas ahli D2 untuk skema SSDF tersebut. D1 hanyalah merupakan agen kepada D2 dan Plaintif-Plaintif tidak mempunya sebarang hubungan kontrak. D1. 6. SSDF adalah suatu inisiatif di bawah Akta Koperasi 1993 yang bergerak selari dengan JVA untuk membangunkan fasiliti kemudahan tempat tinggal, kesihatan, aktiviti riadah untuk golongan warga emas, pesara dan/atau pemilik apartment. 7. D1 dan D2 mendakwa bahawa tindakan Plaintif-Plaintif disini dan sebarang pertikaian tentang pelaksanaan SSDF perlu merujuk kepada suruhanjaya koperasi Malaysia menurut seksyen 82 (1)(d) Akta Koperasi 1993 dan bukannya melalui tuntutan guaman di Mahkamah ini. 8. Seksyen 82(3) (c) Akta Keporasi 1993 memperuntukkan kuasa dan hak merujuk sesuatu pertikaian kepada mahkamah hanya terletak kepada suruhanjaya. Keputusan suruhanjaya adalah muktamad dan tidak boleh 3 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal dicabar oleh mahkamah sebagaimana menurut seksyen 82(5) Akta Koperasi 1993. 9. Selanjutnya seksyen 82(7) Akta yang sama memperuntukkan bahawa mahkamah hanya mempunyai bidangkuasa untuk menguatkuasakan keputusan penimbangtara dan/atau suruhajaya. 10. Maka, D1 dan D2 kini mempertikaikan tindakan Plaintif-Plaintif di sini dan menyatakan Plaintif-Plaintif sepatutnya hendaklah merujuk pertikaian ini kepada suruhanjaya tanpa memintas seksyen 82 (1)(d) Akta Koperasi 1993 dengan membawa tindakan guaman ke mahkamah ini. C. FAKTA RINGKAS Secara ringkas fakta kes adalah seperti berikut: 11. Cyberview Sdn. Bhd. (No. Syarikat: 199601033201 / 405553-T) merupakan pemilik berdaftar untuk sebidang tanah yang dipegang di bawah HSD 34461 PT 48526, Mukim Dengkil, Sepang, Selangor (dikenali sebagai ‘tanah tersebut’). D2 telah melalui perjanjian jual beli bertarikh 31.10.2017 telah membeli tanah tersebut. D1 dan D2 telah seterusnya memasuki sebuah perjanjian ‘Joint Venture’ bertarikh 18.11.2017 untuk memajukan tanah tersebut. 12. D1 dan D2 telah memaparkan slogan-slogan berikut semasa mengajak orang ramai untuk membeli Serviced Apartment tersebut: 4 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal “a. ‘DreamHomes Cyberjaya is the first of its kind of cooperative community development which provides Affordable Dream Homes in a Vibrant Community Integrated with Wellness, Healthcare and Aged Care Components underpinning by the core values of Sharing and Giving.’ b. ‘DreamHomes is now offering "Once in the Life Time" promotional package with GREAT Discounts! Uniquely Furnished Holistic Wellness Features Senior Friendly Design Jeta Global 4H Aged-care centre Jeta Global Home care / day care services Holistic Wellness & Integrative Healthcare Revenue Generating Assets and more...’ c. ‘Through our unique development model, you become one of the landowners of DreamHomes by participating in a cooperative, specifically set up for the buyers and investors - KOPIS [Koperasi Perumahan Impian Selangor Berhad], and enjoying unprecedented benefits you would never dream of.’ d. ‘You enjoy the benefits of Landowner: Special rebates/discounts Perpetual passive income KOPIS entrepreneurship KOPIS dividends” 5 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal 13. Atas kepercayaan kepada slogan-slogan dan representasi yang diberikan oleh D1 dan D2 tersebut, Plaintif-Plaintif telah membeli 2 unit Serviced Apartment tersebut yang dikenali sebagai No. A-21-3A, Dream Homes @ Cyberjaya dan B-21-3A, Dream Homes @ Cyberjaya yang dibina di atas tanah tersebut daripada D1 dan D2. 14. Plaintif-Plaintif telah membayar harga penuh untuk kedua-dua unit Serviced Apartment tersebut yang berjumlah RM 926,000.00. Atas arahan D1 dan D2 Plaintif-Plaintif perlu membayar kepada Defendan Kedua dan Defendan Ketiga seperti berikut: a. Sejumlah RM64,000.00 dibayar kepada D2 melalui akaun no. D2 514084597482; dan b. Sejumlah RM862,000.00 dibayar kepada D3. 15. Harga penuh yang dibayar untuk setiap unit adalah seperti berikut: 13.1 Bagi rumah No. A-21-3A: sejumlah RM375,000.00 dibayar pada 3.5.2018 & sejumlah RM64,000.00 dibayar pada 27.7.2018 (dikenali sebagai ‘Jualbeli bertarikh 3.5.2018’); dan 13.2 Bagi rumah No. B-21-3A: sejumlah RM487,000.00 dibayar pada 12.6.2018 (dikenali sebagai ‘Jualbeli bertarikh 12.6.2018’) 16. Plaintif-Plaintif telah pada 15.5.2018 memasuki sebuah perjanjian dengan Defendan Ketiga (D3) untuk melantik D3 sebagai ‘Stakeholder’ yang berperanan antara lain untuk: 6 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal 15.1 menerima segala harga jual beli berkenaan dengan DreamHomes @ Cyberjaya; 15.2 menggunakan harga jual beli yang diterima seperti melepaskan harga jualbeli kepada Defendan Kedua selepas arahan bertulis daripada Plaintif-Plaintif; 15.3 membuat bayaran kepada pihak ketiga yang telah membekalkan perkhidmartan kepada D3 atau Plaintif-Plaintif berkenaan dengan perjanjian tersebut, dan 15.4 membuat bayaran berdasarkan undang-undang. 17. Plaintif-Plaintif juga telah memasuki sebuah perjanjian yang dikenali sebagai ‘Managing Co-Owners Agreement’ pada 17.7.2018 dengan D4 yang mana D4 berperanan menurut klausa 3 perjanjian tersebut untuk menguruskan serviced apartment bagi menjana pendapatan sewaan. 18. Namun, setelah lebih kurang 5 tahun memasuki perjanjian tersebut, serviced apartment tersebut masih belum dibina dan/atau siap di bina di atas tanah tersebut. 19. Plaintif-Plaintif memplidkan bahawa D1 & D2 telah gagal melaksanakan obligasi mereka untuk membina dan/atau meneruskan pembinaan kedua- dua unit serviced apartment tersebut, atau secara alternatifnya, keseluruhan Projek DreamHomes @ Cyberjaya. Plaintif-plaintif juga tidak dapat manfaat dan/atau kegunanan dan/atau pendapatan sewaan ke atas kediaman tersebut atas kegagalan D1 dan D2 meneruskan pembinaan tersebut. 7 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal 20. Plaintif-Plaintif juga memplidkan bahawa D1 dan D2 telah memecahkan dan/atau memungkiri terma-terma asas perjanjian (‘fundamentally breaches’). Maka, Plaintif-Plaintif menfailkan tuntutan ini untuk membatalkan perjanjian-perjanjian jual beli dan ‘Managing Co-Owners Agreement’. 21. Plaintif-Plaintif menegaskan bahawa kausa tindakan dalam tuntutan ini adalah bukan perkara yang tertakluk kepada Seksyen 82 (1) (d) Akta Koperasi 1993 maka Mahkamah Sesyen Sivil mempunyai bidang kuasa untuk mendengar kes ini. 22. Plaintif-plaintif kini menuntut dari defendan-defendan melibatkan deklarasi, pembayaran balik wang belian, gantirugi am untuk ditaksirkan, tuntutan ini juga melibatkan pembatalan perjanjian yang dikenali sebagai ‘Managing Co- Owners Agreement’ di antara Plaintif-Plaintif dengan D4 23. Plaintif-Plaintif memplidkan bahawa D1 dan D2 telah memberikan representasi yang salah kepada Plaintif-Plaintif untuk memperdayakan Plaintif-Plaintif memasuki perjanjian jual beli. 24. Pembelaan D1 dan D2 yang telah difailkan langsung tidak memplidkan isu bidang kuasa sebagaimana dituntut dalam permohonan ini. D. PRINSIP UNDANG-UNDANG 25. Seksyen 82 Akta Koperasi 1993 memperuntukkan seperti berikut: ‘82. Settlement of disputes. 8 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal (1) If a disputes touching the constitution, by-laws, election of officers, conduct of general meetings, management or business of a co-operative society arises: (a) among members, past members and persons claiming through members, past members and deceased members; (b) between a member, past member or person claiming through a member, past member or deceased member, and the society, its Board, or any officer of the co-operative society; (c) between the co-operative society or its Board and any officer of the co- operative society; or (d) between the co-operative society and any other co-operative society, such dispute shall be referred to the Commission for decision. (2) A claim by a co-operative society for any debt or demand due to it from a member, past member or the nominee, heir or legal representative of a deceased member shall be deemed to be a dispute touching the business of the co-operative society within the meaning of subsection (1). (3) The Commission may, on receipt of a reference under subsection (1): (a) decide the dispute by itself; (b) refer the dispute to an arbitrator or arbitrators for disposal; or (ba) refer the dispute to the tribunal established under section 83; or (c) require the parties concerned to refer the dispute to a court.’ 9 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal 24. Mahkamah ini juga merujuk kepada A. 18 K.19 (1)(a), (b), (c), (d) KKM 2012 seperti berikut: “19. Striking out pleadings and endorsements (1) The Court may at any stage of the proceedings order to be struck out or amended any pleading or the endorsement, of any writ in the action, or anything in any pleading or in the endorsement, on the ground that— (a) it discloses no reasonable cause of action or defence, as the case may be; (b) it is scandalous, frivolous or vexatious; (c) it may prejudice, embarrass or delay the fair trial of the action; or (d) it is otherwise an abuse of the process of the Court, and may order the action to be stayed or dismissed or judgment to be entered accordingly, as the case may be. (2) No evidence shall be admissible on an application under subparagraph (1)(a). (3) This rule shall, as far as applicable, apply to an originating summons as if it were a pleading." E. HUJAHAN PIHAK-PIHAK 26. Isu yang berbangkit di sini samada kausa tindakan Plaintif-Plaintif di sini tertakluk kepada seksyen 82 Akta Koperasi 1993. Kausa tindakan Plaintif- Plaintif di sini adalah berkenaan dengan pelanggaran kontrak dan tuntutan ganti rugi atas pelanggaran kontrak tersebut. 27. Plaintif-plaintif menuntut daripada Defendan-Defendan berasaskan perjanjian jual beli service apartment dan bukannya tuntutan ke atas skim simpanan wang koperasi. 10 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal 28. Mahkamah ini merujuk kepada keputusan mahkamah rayuan di dalam kes KOPERASI SERBAUSAHA MAKMUR BERHAD (KOSMA) v. JAMIL NINGGAL & ORS [2019] 9 CLJ 600 [2018] 1 LNS 632 yang telah memutuskan berkenaan seksyen 82 AKta Koperasi 1993 seperti berikut: “[31] Therefore, the section envisages that firstly, the dispute must "touch" on or relate to the constitution or by-laws of the society, the election of officers, conduct of general meetings by the society, management of the society, or the business of the co-operative society. [32] If it falls within those specific areas, then it is further honed down to encompass only disputes touching on the above matters between several categories of persons. On the facts of our case, it relates to a dispute between ex-employees or ex-officers of the co-operative society and the co-operative society. The question that falls for consideration is whether this dispute falls within the categories of disputes envisaged to be resolved by the Commission. [33] Construed as a whole, the Act relates to disputes concerning the internal or domestic affairs of the society and persons who are connected to the co-operative society. This is clear from a plain reading of the section. It does not purport to cover disputes which are outside of the scope of the workings and business of the society or persons who not members, past members or heirs or legal representatives of deceased members. In other words, disputes which relate to members 11 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal or officers/employees of the co-operative society only, fall within the purview of this section relating to the resolution of disputes. [34] This is a plausible and tenable construction because the entire Act is centred on co-operative societies. Therefore, disputes too must relate to, or be connected in some manner with the workings of a co-operative society.” 29. Isu yang dibangkitkan oleh Plaintif-Plaintif dalam tuntutannya adalah berhubung dengan gantirugi dari pelanggaran kontrak jual beli serviced apartment dan tidak menyentuh berkenaan dengan koperasi atau dibawa atas kapasiti sebagai ahli koperasi. 30. Bagi isu jual beli serviced apartment tersebut Plaintif menghujahkan bahawa tuntan Plaintif-Plaintif adalah tertakluk kepada Akta Pembangunan Perumahan (Kawalan Dan Pelesenan) 1966. Plaintif-Plaintif di dalam kes ini membawa tindakan selaku pembeli-pembeli serviced apartment dan bukannya atas kapasiti ahli koperasi. Plaintif telah merujuk kepada keputusan mahkamah persekutuan di dalam PJD REGENCY SDN BHD v. TRIBUNAL TUNTUTAN PEMBELI RUMAH & ANOR AND OTHER APPEALS [2021] 2 CLJ 441 [2021] 1 LNS 9: “(2) That the HDA and its subsidiary legislation are social legislations is settled beyond dispute. The long title of the HDA provides in no uncertain terms that it exists, in Peninsular Malaysia, for the protection of the interest of purchasers and for matters connected therewith. A social 12 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal legislation is a legal term for a specific set of laws passed by the Legislature for the purpose of regulating the relationship between a weaker class of persons and a stronger class of persons. Given that one side always has the upper hand against the other due to the inequality of bargaining power, the State is compelled to intervene to balance the scales of justice by providing certain statutory safeguards for that weaker class. When it comes to interpreting social legislation, the State having statutorily intervened, the courts must give effect to the intention of Parliament and not the intention of parties. Otherwise, the attempt by the Legislature to level the playing field by mitigating the inequality of bargaining power would be rendered nugatory and illusory.” 31. Selanjutnya Plaintif-plaintif juga merujuk kepada kes LING SOON PING v. KOPERASI PEMBANGUNAN PENDIDIKAN BERHAD & ANOR [2024] MLRHU 1893, [2024] CLJU 2287, di mana Choong Yeow Choy JC telah menolak permohonan Defendan atas isu yang lebih kurang sama dengan kes ini, di mana kes tersebut juga melibatkan perjanjian di antara Plaintif dengan Koperasi, berikutan wang dibayar kepada Trustee. Mahkamah telah memutuskan seperti berikut: ‘[19] On the first issue of whether this dispute falls within the jurisdiction of the Malaysia Co-Operative Societies Commission pursuant to s 82 of the Co-Operative Societies Act 1993 thereby making it mandatory for the Appellant/Plaintiff to refer the dispute to the Commission, this Court is of the view that the dispute between the parties falls outside the ambit of s.82 of the Co-Operative Societies Act 1993 and the jurisdiction of the 13 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal Malaysia Co-Operative Societies Commission. The reasons are threefold. [20] First, the Second Respondent/Defendant is not an entity that is subjected to the purview of the Co-Operative Societies Act 1993 and the Malaysia Co-Operative Societies Commission. A "co-operative society" is defined under s 7 of the Co-Operative Societies Act 1993, whereas the definition of "qualification for membership" is furnished under s 26 of the Co-Operative Societies Act 1993. … [23] Given that the Second Respondent/Defendant is neither a "co- operative society" nor a "member" under s 82(1) of the Co-Operative Societies Act 1993, the Court is of the view that the Malaysia Co Operative Societies Commission has no jurisdiction to adjudicate the Appellant/Plaintiff's claim. [24] If the dispute were to be referred to and adjudicated by the Malaysia Co-Operative Societies Commission, the Commission would have exceeded its jurisdiction under s 82(1) as the Second Respondent/Defendant is not an entity that is subjected to the purview of the Co-Operative Societies Act 1993. … [26] In the present case, the capacity of the Second Respondent/Defendant is not of a "co-operative society" nor a "member" under the Co-Operative Societies Act 1993, but an independent trust 14 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal company. Hence, this Court is of the view that the Malaysia Co- Operative Societies Commission has no jurisdiction over the dispute… Additionally, the legal question of whether there was privity of contract between the Appellant/Plaintiff and the Second Respondent/Defendant, as per the cl 6 of the Scholarship Fund Agreement and cl 11.4 of the Deed of Trust also falls outside the scope of "dispute touching the management or business" of the First Respondent/Defendant.’ 32. D1 dan D2 menghujahkan bahawa Mahkamah ini tidak mempunyai bidangkuasa ke atas D1 dan D2 dalam menentukan hak tuntutan pelanggaran kontrak, relif dan remedi gantirugi khas yang dituntut oleh Plaintif-Plaintif di bawah A.12 K.10(1)(g) KKM 2012, S.82 Akta Koperasi dan Undang-Undang Kecil D2. 33. Pembayaran Plaintif-Plaintif kepada D2 di bawah SSDF adalah suatu simpanan khas untuk SSDF sebagaimana terkandung di bawah fasal 2 Undang-undang kescil D2 dan tergolong di bawah fasal 58 (1)(b) undang- undang Kecil D2 di bawah kategori wang dan kumpulan wang keporasi. 34. Sebagai ahli berdaftar D2, pertikaian Plaintif-Plaintif adalah terhadap fungsi, undang-undang kecil dan perniagaan D2 dalam SSDF adalah sabjek perkara yang perlu dirujuk kepada suruhanjaya koperasi menurut kehendak seksyen 82 (1)(d) Akta Koperasi. 35. Defendan merujuk kepada keputusan mahkamah tinggi di dalam kes SAMUEL A/L FREDERICK JOSEPH HOGG & 16 ORS VS. KOPERASI 15 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal PEKERJA JAYA BERHAD AND ANOTHER SUIT [2016] MLJU 950 yang antara lain telah membenarkan permohonan Defendan dan memutuskan mahkamah tidak mempunyai bidang uasa untuk mendengar kes tersebut atas sebab Plaintif-plaintif merupakan ahli koperasi yang tertakluk kepada seksyen 82 Akta Koperasi. 36. Secara alternatifnya D1 dan D2 memohon agar writ saman terpinda dan pernyataan tuntutan terpinda Plaintif-Plaintif bertarikh 31.5.2024 terhadap D1 dan D2 dibatalkan menurut A.18 K.19(1) (b), (c) dan (d) dan/atau menurut bidangkuasa sedia ada di Mahkamah di bawah A.92 K.4 KKM 2012. 37. Oleh itu, permohonan D1 dan D2 ini hendaklah dibenarkan. F. KEPUTUSAN DAN ALASAN 38. Mahkamah ini setelah meneliti keseluruhan kertas kausa, hujahan-hujahan dan ikatan orotiti yang dirujuk oleh pihak-pihak di sini mendapati bahawa isu pertikaian yang menjadi tuntutan Plaintif-Plaintif terhadap D1 dan D2 adalah berkenaan dengan kegagalan dan/atau pelanggaran kontrak oleh Defendan- Defendan atas perjanjian jual beli yang telah ditandatangani oleh pihak-pihak terlibat. 39. Merujuk kepada kes KOPERASI TELEKOM MALAYSIA BERHAD V. ISMAIL BIN NORDIN & ORS [2020] 3 CLJ 277; [2020] MLJU 20; [2020] 3 MLRH 1, mahkamah telah memutuskan seperti berikut; 16 S/N ZD4dK0rruk20CnanKUjqLA **Note : Serial number will be used to verify the originality of this document via eFILING portal “[19] As set out earlier in this decision, the claims and relief sought by the Plaintiff are manifold and they essentially allege breach of fiduciary and statutory duties and seek declaratory and injunctive relief. Can such claims and relief sought be considered a 'dispute touching the business of a Co-operative society" thus invoking Section 82? The Plaintiff relies on the recent decisions of the Court of Appeal in Koperasi Serbausaha Makmur Bhd (KOSMA) v. Jamil Ninggal & Ors [2019] 9 CLJ 600 CA and the High Court in Bank Kerjasama Rakyat Malaysia v. Koperasi Amanah Pelaburan Bhd [2020] 6 CLJ 203; [2019] MLJU 754 HC case and urges this Court to answer the question in the negative. [20] To reiterate, the Plaintiff contends that in light of the nature of the dispute and the relief claimed, theirs is not a dispute falling within Section 82 and the Defendants' application to strike out their claim be dismissed with the necessary result that this court proceed to hear this dispute on the merits. …… [36] Back to the facts of the case at hand. Based on the facts of this case and in particular, the nature of the plaintiffs claim and their various causes of action, and applying the principles as set out in the Kooperasi Serbausaha and Bank Kerjasama Rakyat cases, I have no hesitation in dismissing the Defendants application to strike out the Plaintiffs claim. [37] I am of the considered view that the facts of the present case are distinguishable from Arulandan as the reliefs sought herein do not relate to a disciplinary action against an employee. Further, bearing in mind that the causes of action relate to breach of fiduciary/statutory duty, such claims cannot be considered a dispute touching on the management or business of the Plaintiff.” 40. Berdasarkan kes Koperasi Telekom ini, mahkamah perlu menilai bentuk pertikaian yang dibangkitkan oleh Plaintif-Plaintif samada tergolong dibawah seksyen 82 Akta Koperasi atau sebaliknya.
