Procedural Posture

Company Restoration Application / Judgment (application for Restoration)

  1. 1 Whether applicant had standing as a creditor/holder of an undischarged claim to seek restoration
  2. 2 Whether time limits under the Limitation Act 2010 should be stopped for the period the company was removed
  3. 3 Whether time limits for voidable transactions under Companies Act ss 292, 297 and 298 can be treated as not running for the period of removal

Ratio Decidendi

Albacore had standing as holder of an undischarged claim arising before Sunsai's removal; s 329(4) confers a broad power to place parties as if the company had not been removed including stopping limitation periods and Companies Act time limits for voidable transactions for the period of removal; Albacore had been reasonably diligent and the application was not nugatory, so the court exercised its discretion to restore Sunsai and to stop time running under the Limitation Act and ss 292, 297 and 298 from 27 November 2009 until restoration.

Court Disposition

Application granted: Sunsai Limited restored to the Companies Register; time under Limitation Act 2010 and ss 292, 297 and 298 of the Companies Act 1993 will not run for the period of removal as specified

Orders

  • Sunsai Limited is restored to the Companies Register
  • Time under the Limitation Act 2010 and ss 292, 297 and 298 of the Companies Act 1993 shall not run from 27 November 2009 (date Albacore was informed of Sunsai's removal) until the day Sunsai is restored to the register
