Procedural Posture

Originating Application in High Court / Judgment Following Hearing

  1. 1 Whether clause 19 of the credit application permitted registration of a memorandum of mortgage over the applicant's land
  2. 2 Whether United Steel validly registered the mortgage by e-dealing relying on a purported power of attorney
  3. 3 Whether an appointment of an attorney enabling registration of an instrument having the effect of a deed must itself be by deed despite e-dealing regime

Ratio Decidendi

Although clause 19 gave United Steel a contractual right to take security and to lodge a caveat and potentially to register a mortgage, the registration by e-dealing was invalid because United Steel's authority to act as attorney for the mortgagor was not conferred by deed; an attorney purporting to execute or authorise registration of an instrument that has the effect of a deed must have been appointed by deed, and the certificate of non-revocation asserting appointment by deed was incorrect, so United Steel lacked lawful authority to register the mortgage; United Steel remained entitled to register a caveat.

Court Disposition

Declaration granted that mortgage instrument 10637755.1 registered against Certificate of Title CB40C/969 was invalidly registered; leave reserved to seek further orders and to join Registrar of Lands; costs reserved with timetable for memoranda
