Procedural Posture

Claim for Breach of Commercial Lease (rent and Outgoings) / Summary Judgment Application (reserved Judgment Delivered 5 April 2012)

  1. 1 Whether the landlord/ plaintiff made a clear and unequivocal promise that Rural News' lease would be assigned to Aon
  2. 2 Whether any such promise caused Rural News to commit to new premises and act to its detriment (reliance)

Ratio Decidendi

On objective construction the landlord's emails did not amount to a clear and unequivocal promise that Rural News' lease would be assigned to Aon, Rural News did not show detrimental reliance caused by any such promise (it had already given notice and the assignment depended on actions by Rural News and Aon), therefore promissory estoppel did not apply and summary judgment for the landlord was warranted for outstanding rent and outgoings of $82,085.68.

Court Disposition

Summary judgment entered for plaintiff on liability
