Procedural Posture

Companies/receivership Proceeding With Summary Judgment Application / High Court Summary Judgment Hearing and Judgment (associate Judge Bell)

  1. 1 Whether mortgagee (and receivers) had right to possession
  2. 2 Whether Lambert could grant a lease and whether Pickens/van Veen could rely on lease/sub-lease
  3. 3 Effect of Official Assignee disclaimers on the lease and sale agreement

Ratio Decidendi

Rotoiti held a registered first mortgage and had lawfully obtained the right to possession by valid default notices; Lambert never obtained title or a valid estate to grant exclusive possession so the lease to Pickens (and sub-lease to van Veen) could not defeat the mortgagor or mortgagee; furthermore the Official Assignee's disclaimers terminated any residual contractual or leasehold rights derived from Lambert, and the mortgagee's registered priority therefore prevailed; accordingly plaintiffs entitled to summary judgment and possession.

Court Disposition

Summary judgment for plaintiffs (receivers and Rotoiti). Defendants' defences dismissed.
