Ratio Decidendi

The Court held that the first plaintiffs have standing as registered shareholders of the second and third defendants and Mr Carr has standing as a creditor of Big Sky Dairy Farms; on the evidence the companies (assessed on a group cash‑flow basis) are unable to pay their debts and there has been a complete breakdown of shareholder relations making the just and equitable ground also satisfied; the Court therefore exercised its discretion to appoint liquidators but disqualified the PwC nominees because of the firm's connection to BNZ and appointed the Official Assignee at Christchurch as liquidator of the second and third defendants, with liquidation effective 2 June 2009 2:30pm.
