Procedural Posture

Companies Act 1993 Liquidation Proceedings / Post Judgment Application for Stay Pending Appeal

  1. 1 Whether the Court has jurisdiction to grant a stay of execution of an order for liquidation of a company
  2. 2 Whether interim relief under r 12(3)(b) or High Court inherent jurisdiction is available in the context of an executed liquidation order
  3. 3 Whether protective orders under s 284 are the appropriate mechanism to preserve matters pending appeal

Ratio Decidendi

The Court held there is no jurisdiction to grant a stay of execution of an order for liquidation under r 12(3)(a) in circumstances where the liquidation order is executed immediately under s 241(5) and the statutory liquidation process has commenced; protective measures should instead be sought under s 284. Accordingly the application for a stay was declined and a s 284 order made restraining the liquidators from abandoning or compromising the extant application to set aside the pooling orders.

Court Disposition

Application for stay of execution of the liquidation order declined; protective order under s 284 made; leave reserved to apply for further s 284 orders; costs to plaintiff on a 2B basis.

Orders

  • Application for stay of execution of the order for liquidation declined
  • Order made under s 284 that pending determination of the appeal the liquidators of RGREL are not to abandon or compromise the extant application to set aside the pooling orders
