Procedural Posture

Appeal (high Court) / Judgment on Appeal (reserved Judgment Delivered)

  1. 1 Whether an unsigned written document can be enforced as a guarantee under s 2 of the Contracts Enforcement Act 1956
  2. 2 Whether the authenticated signature fiction applies where the creditor did not sign the document
  3. 3 Whether doctrines of part performance or estoppel can render an unsigned guarantee enforceable

Ratio Decidendi

Authenticated signature fiction could not be sustained on these facts but, applying equitable estoppel, the appellant was estopped from denying the enforceability of the written undertaking because the document was prepared and delivered to induce Cardrona to continue services, the appellant knew of delivery, made representations and affirmed the undertaking, Cardrona relied on those representations and it would be unconscionable to allow denial; accordingly the guarantee is enforceable and the appeal is dismissed.
