Procedural Posture

Appeals From High Court Liquidation Applications / Court of Appeal Judgment and Reasons (20 May 2014)

  1. 1 Whether Richina Global Real Estate Ltd (RGREL) rebutted the s287 presumption of insolvency
  2. 2 Whether Isola Vineyards Ltd should be placed into liquidation
  3. 3 Whether disputed inter-company debts may be taken into account when assessing a company's ability to pay its debts

Ratio Decidendi

RGREL: The Court set aside the High Court liquidation order against RGREL because by the time of hearing there were no undisputed debts due from RGREL (some alleged debts were accepted as not due or were secured/paid and the remainder were genuinely and substantially disputed) and it would be an abuse and premature to liquidate while core disputes remained unresolved. Isola: The Court dismissed the liquidators' appeal; the main statutory demand from Mainzeal had been paid and the KFL claim was substantially disputed and contingent, so the Judge properly exercised discretion under s241(4) to decline liquidation.

Court Disposition

Appeal allowed in part: High Court order putting Richina Global Real Estate Ltd into liquidation set aside; appeal relating to Isola dismissed and High Court decision declining to liquidate Isola upheld
