Procedural Posture

Civil Claim (contract / Fair Trading Act) / Interlocutory – Application for Security for Costs Heard and Determined; Summary Judgment/strike‑out Application Referred to Registrar

  1. 1 Whether there is reason to believe the Trust will be unable to pay the Bank's costs if unsuccessful
  2. 2 Whether it is just in all the circumstances to order security for costs
  3. 3 What is the appropriate quantum of security

Ratio Decidendi

Threshold satisfied: Trust will be unable to pay the Bank's costs if unsuccessful. On interlocutory assessment the Trust's substantive claim faced substantial hurdles (conflict of evidence, bank's documented practice requiring written loan offers, conditionality of alleged promises, weak Fair Trading Act cause). The Trust's impecuniosity was not primarily caused by the Bank but by market falls and delay; proceedings appear to have been issued to forestall recovery. Accordingly it was just to order security for costs. Quantum set at NZD 17,500 as a realistic but not oppressive contribution toward the Bank's likely costs.

Court Disposition

Order for security for costs granted; costs awarded to Bank on a 2B basis (plus disbursements fixed by Registrar).

Orders

  • Plaintiff to provide security for costs of NZD 17500 by paying that sum to the Registrar of the High Court by Friday 7 October 2011
  • If security is not paid by that date the Bank may seek a stay or dismissal of the proceeding
