Ratio Decidendi

A manufacturer who receives a design and prepares cards for another is subject to an implied condition, established by custom and the nature of the contract, not to use the cards for his own purposes or to compete with the design owner, unless the owner has no further use for them or a reasonable time has elapsed without repeat orders. This restriction binds the trustee in bankruptcy and subsequent purchasers who had notice of the condition.
