The Assignment Agreement did not constitute a valid assignment of rights under Article 1689 of the Civil Code, nor a valid cession de contrat, as the defendants did not consent to the assignment and were not notified in the manner required by law. The Joint Venture Agreement was not susceptible to assignment as a contract of this nature requires the consent of all parties. Therefore, the plaintiff had no right of action for specific performance against the defendants.
