The pre-signed Agreement between the plaintiffs and defendants constituted an independent, enforceable sale contract separate from the lapsed Amethyst option; the plaintiffs had proposed that the option money be treated as the deposit, the defendants accepted and signed the Agreement, payment of the deposit was a fundamental term (not a condition precedent) and in any event was deemed satisfied by the option fee; plaintiffs did not repudiate promptly; accordingly the defendants acquired an equitable interest and were entitled to lodge and maintain the caveat.
