The court found on the evidence that the first defendant authoritatively instructed the agent to deposit the 1% cheque into his named account and did not object thereafter; the deposit and the chain of emails together with the inscription on the back of the cheque constituted a sufficient written memorandum under s 6(d) Civil Law Act or, alternatively, the cheque deposit constituted part performance; accordingly a binding contract existed and specific performance (granting the Option) and damages were ordered.
