The Supreme Court of Appeal held that no stakeholder agreement was concluded between EDS, Nationwide, and Duncan Okes Inc. The correspondence and arbitration agreement contemplated the nomination of an independent firm of attorneys to act as stakeholder, which was never effected. Duncan Okes Inc held the funds as agent for Nationwide, not as stakeholder, and Nationwide retained control over the funds, including the right to revoke instructions. The funds therefore remained part of Nationwide's estate upon liquidation.
