Ratio Decidendi

The court found that the SRP misconstrued the facts by treating Tsogo Sun Holdings Limited's conditional approach as a formal offer, despite Tsogo's explicit requirement for irrevocable undertakings from the majority shareholders before any offer would be made. The SRP failed to distinguish between proposals made to shareholders and actual offers to the board, and did not consider GRR's submissions that no offer existed unless the precondition was met. The SRP's decision was therefore based on mistaken facts and irrelevant considerations, rendering it irrational and reviewable under section 6(2) of PAJA. The court held that the SRP's order must be set aside and the complaint dismissed.
